| Job Duties: | Research cases, federal or public laws, rules and regulations on legal issues and provide memorandum and executive summary or report. Investigate issues and study legal records and documents as may be assigned by in-house counsel or corporate officer. May assist the in-house counsel on litigation matters involving civil or administrative cases, including attendance in deposition hearings and meetings, preparation of litigation materials and documents. May file pleadings in court, may serve pleadings to various parties and counsels. Research on business entities including corporate documents at the Registrar’s Office as may be assigned by the in-house counsel or corporate officer. Research on leases and other publicly recorded documents filed at the Commonwealth Recorder’s office as may be assigned by the in-house counsel or corporate officer. Prepare and submit applications and renewals for business licenses. Process labor and immigration and business permits. Keep, maintain, organize and update corporate records including corporate seals, recorded leases, and various contracts. Draft minutes of meeting, certificates, waivers and consents, annual corporation reports, shareholder agreements and other various corporate documents. Assist in closing transactions and managing all documents needed to finalize and close a deal. In charge of government regulatory compliance filings in the CNMI. Perform routine administrative tasks including basic accounting, payroll and local tax preparation and filing. Drafts periodic reports to management regarding any legal, business or personnel issues affecting the CNMI branch. Perform other related duties as required or assigned. |

| Qualification Requirements: | Requires a bachelor's degree in law, jurisprudence or other law-related area (at least 50 semester credit hours). Graduate degree in law preferred. A minimum of four years of work-related skill, knowledge, or experience with strong research, writing and speaking skills including critical thinking and problem solving abilities. Must be literate in computer and computer applications and proficient in the use of legal research soft wares or programs. |
